The President, Past-President, President-elect, Treasurer, and Secretary will form the Executive Committee, which will conduct the day-to-day business of the ITC in accordance with the decisions taken by the Council.2 . Terms of Office and Election of Officers and Members.2.1: The President-elect, Secretary, Treasurer and the elected Members of Council shall be elected at a General Meeting. 2.1.1: The President-elect holds office for a two-year term and, at the end of this term, assumes the position of President for a further two-year term of office. The two periods of office run consecutively. 2.1.2: The retiring President will serve a term of two-years as Past-President. 2.1.3: The Secretary and Treasurer shall each be elected for a four-year term of office. 2.2: Elected Members of Council shall each be elected for a four-year term of office. 2.3: Co-opted Members of Council shall each be co-opted by the Council. 2.4: The Editors of the International Journal of Testing and the ITC Bulletin shall be appointed by the Council. 2.5: When a vacancy occurs during a term of office, the Executive Committee shall have the right to appoint a new member or make an appointment to a vacant Office, the appointment being valid until the next General Meeting.
3. Functions of Council members (which include the five members of the Executive Committee and nine additional Council members) are as follows: 3.1: The President will preside at Council, Executive, and General Meetings, report on the activities of the ITC over the period since the last General Meeting, distribute a six-month progress report to all members, and Council, and generally perform such duties as fall to the chief officer of an organization. 3.2: The President-elect will act for President, Secretary, or Treasurer in their absence, and take on special projects as appropriate. 3.3: The Treasurer will oversee the financial matters, distribute invoices in a timely manner to members, receive payments, and conduct follow-ups, pay bills, and report to the Council and the General Meeting on the financial standing of the organization. Additional expectations include the preparation and distribution to Council members of yearly budgets and financial statement on a regular basis (every six months). 3.4: The Secretary will keep, maintain, and distribute minutes of General, Council, and Executive Committee meetings, send announcements and correspondence of ITC members and Council as needed, and distribute agenda for forthcoming Meetings. 3.5: The Past-President will facilitate a smooth transition of responsibilities to the next Executive Committee and Council, and perform other duties as appropriate. 3.6: Council Members have the responsibility of attending Council Meetings and the General Meetings and taking on responsibilities and activities to further the goals of the ITC.
4. A General Meeting of the members will be held every second calendar year, if possible on the occasion of an IAAP or IUPsyS congress. Reasonable care will be taken by the Executive Committee that all members have received a notice at least 90 days prior to the day of the Meeting. The agenda is prepared by the Secretary with the advice of the Council. A written request for inclusion for an agenda item submitted by a Full Member at least 3 months prior to the meeting will be granted. For the election, statements from all candidates should be distributed to Council members 90 days in advance of the General Meeting.
5. Persons who intend to vote at a General Meeting on behalf of a Full or Affiliate Member will produce documented evidence prior to the voting, demonstrating that they have been officially designated to do so.
6. At a General Meeting, 30 percent of the Full Members in good standing will constitute a quorum
7. The ITC will publish the International Journal of Testing, a Newsletter, and the President’s six-month progress reports to facilitate communication among members on important testing issues and developments, and to inform the membership of activities and plans of the ITC. One copy of each publication will be made available to each member of the ITC and Council Members.
8. The Council will appoint editors for its publications. The level of compensation payable to the Editor of the International Journal of Testing shall be established by the Council.
9. Annual membership dues will be set by the Executive Committee after approval of the budget by Council.
10. Distribution of Assets upon Dissolution The ITC is not organized for a pecuniary profit. It shall not have any power to issue Certificates of Stock or declare dividends, and no part of its earnings shall inure to the benefit of any Member, Council Member, or individual. In the event of dissolution, the residual assets of the ITC will be turned over to one or more organizations that themselves are exempt as organizations described in Section 501 (C) (3) of the U.S. Internal Revenue Code of 1954 or corresponding sections of any prior or future law; to the federal, state, or local government for exclusive public purpose; or to other not-for-profit professional associations whose goals are consistent with those of the ITC. If possible, residual assets will be transferred to the International Association of Applied Psychology.
11 . Duration.The ITC shall exist in perpetuity.
12. Non-Stock Corporation The ITC shall be a non-stock corporation and no dividends shall be declared or paid to the members thereof.
